TERMS OF SERVICE

These Terms of Service ("Terms") govern access to and use of the Basementgrid platform, including its website, web application, and mobile application (collectively, the "Service"), provided by Basementgrid Pte Ltd ("Basementgrid", "we", "us", or "our"), a company incorporated in Singapore with its registered address at 7 Temasek Boulevard, #12-07 Suntec Tower One, Singapore 038987.
By creating a workspace, accessing, or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization (such as a Management Corporation Strata Title ("MCST"), Managing Agent ("MA"), or vendor company), you represent that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, you must not access or use the Service.
1. Definitions
- "Workspace" means the dedicated instance of the Service created for a single estate, building, or organization, identified by its Unique Entity Number ("UEN").
- "Workspace Owner" means the entity (typically an MCST or MA) under whose UEN a Workspace is registered.
- "Account" means an individual user login within a Workspace, assigned one of the Roles described in Section 3.
- "Content" means all data, records, documents, photos, and other materials submitted to or generated within a Workspace, including work orders, defect reports, asset records, and financial records.
- "Vendor" means a third-party contractor or service provider engaged by a Workspace Owner and given access to the Service to receive and fulfil work orders.
- "Subscription Plan" means the tier of paid or free access to the Service selected for a Workspace, as described in Section 2.
2. The Service and Subscription Plans
2.1 Nature of the Service
Basementgrid is a software-as-a-service platform for strata and property management, providing tools for work order management, asset and compliance tracking, defect logging, and payment guardrails (such as approval thresholds and vendor payment tracking). Basementgrid provides the Service on an "as is" and "as available" basis, as further described in Section 6.
2.2 Free Trial
New Workspaces receive a free trial period of one (1) month with access to the full range of features. Unless the Workspace Owner upgrades to a paid Subscription Plan before the trial ends, the Workspace will automatically downgrade to the Free Plan described in Section 2.3.
2.3 Free Plan
The Free Plan is subject to the following limits, which we may update from time to time by posting updated limits within the Service:
- Up to 10 units or 10,000 sq ft of managed floor area
- Access to work orders is limited to those created within the past 90 days. Work orders older than 90 days remain stored in the system but are not accessible to the Workspace unless the Workspace upgrades to a paid Subscription Plan
- 1 Administrator account (additional Administrator accounts are automatically demoted to Collaborator)
- 1 work order template
- 1 custom form
- A cap of 10 locations and 10 assets, beyond which creation and editing of locations and assets is frozen
- Work order history limited to the current and previous calendar month
- Maximum file upload size of 10 MB per file
2.4 Paid Subscription Plans
Workspace Owners may upgrade to a paid Subscription Plan to remove or expand the limits described in Section 2.3. Current plan features and pricing are made available within the Service or on our website and may be updated from time to time. Continued use of a paid Subscription Plan after such an update constitutes acceptance of the updated features and pricing for that plan, subject to Section 9 (Changes to These Terms).
3. Roles, Accounts, and Access
Each individual who accesses a Workspace does so through an Account assigned one of the following Roles. Role assignment determines the scope of what an Account can view, do, and who it may invite into the Workspace.
3.1 Roles
Administrator — Typically a Property Manager, Managing Agent, or estate administrator. Has full operational control over the Workspace, including managing users, mapping locations, adding assets, configuring vendors, creating and issuing work orders, and accessing performance reports.
Approver — Typically a Management Committee or Council member, or financial overseer. Has read-only visibility into estate operations, together with the authority to approve or reject vendor quotes and work order expenses that exceed the Workspace's configured spending threshold before such work may be authorized.
Collaborator — The estate's own in-house maintenance staff (not an external Vendor). Can view issued work orders, log status updates, upload photos, leave comments, and track the history of assigned tasks.
Requester — Residents, tenants, or sub-occupants. Can submit maintenance requests with supporting photos and track the progress of their own submissions. Requesters have no visibility into other occupants' issues or general estate assets.
Vendor Manager — The owner, account manager, or team lead of a Vendor company. Receives and responds to work orders and quote requests on behalf of the Vendor, and manages the Vendor's own field team by inviting and managing Vendor Technicians. An invitation extended to a Vendor by an Administrator is treated as an invitation to that Vendor's Vendor Manager; there is no separate "Vendor" account type.
Vendor Technician — Field staff employed or subcontracted by a Vendor. Can view work orders assigned to them, log status updates, upload photos, and leave comments, scoped to their own Vendor's jobs.
3.2 Invitation and Account Management
Each Role may invite or manage other Accounts only as follows:
- Administrators may invite Accounts to any estate-side Role (Administrator, Approver, Collaborator, or Requester) and may invite Vendors (which creates a Vendor Manager Account for that Vendor company).
- Approvers may not invite or manage other Accounts.
- Collaborators may invite other Collaborators and Requesters.
- Requesters may invite other Requesters (for example, adding a co-tenant or family member).
- Vendor Managers may invite and manage Vendor Technicians for their own Vendor company.
- Vendor Technicians may not invite or manage other Accounts.
Each Workspace Owner is responsible for the actions taken through Accounts it or its Administrators invite into the Workspace, and for promptly removing Accounts that should no longer have access (for example, a departed staff member or terminated Vendor).
3.3 Account Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify us promptly of any unauthorized use of your Account.
4. Fees and Payment
4.1 Who Is Billed
Only the organization that upgrades a Workspace to a paid Subscription Plan (typically the MCST or its Managing Agent) is billed for that Workspace. Vendors, Vendor Managers, and Vendor Technicians are never charged for access to the Service.
4.2 Billing Cycle
Paid Subscription Plans are billed either monthly or annually, as selected by the Workspace Owner at the time of upgrade. Fees are due in advance of each billing period.
4.3 No Refunds
All fees are non-refundable, except where required by applicable law. Downgrading or cancelling a Subscription Plan takes effect at the end of the then-current billing period, and no partial refund will be issued for the unused portion of that period.
4.4 Late or Failed Payment
If a payment is not successfully processed, we do not charge late fees. Instead, the Workspace Owner has fifteen (15) days from the payment due date to settle the outstanding amount. If payment is not received within that period, the Workspace will automatically downgrade to the Free Plan described in Section 2.3, and the limits of that plan will apply until the Workspace Owner upgrades again.
4.5 Vendor Payments
Basementgrid provides tools to track, match, and display invoices and payment guardrails (such as council approval thresholds and PayNow QR codes) between Workspace Owners and Vendors. Basementgrid is not a party to, and does not process, hold, or transmit, any funds paid between a Workspace Owner and a Vendor.
As a convenience to Vendors, Basementgrid generates a PayNow QR code for each work order, encoded with the Vendor's own Unique Entity Number (UEN) and the relevant work order amount, so that the paying customer can scan and pay quickly. Each such QR code directs payment straight into the Vendor's own bank account via PayNow — Basementgrid does not receive, hold, or have access to any funds paid through it, and generating the QR code does not make Basementgrid a party to that payment. Basementgrid is not a payment processor, payment facilitator, or merchant of record for any such transaction, and is not responsible for the completion, accuracy, or security of payments made directly between Workspace Owners and Vendors, whether or not made using a QR code generated within the Service.
4.6 Payment via Third-Party Gateway (HitPay) and QR Code Validity
Payment of Subscription Plan invoices is processed through HitPay Payment Solutions Pte. Ltd. ("HitPay"), an independent third-party payment gateway. Each invoice generated for a Workspace Owner includes a static PayNow QR code produced by HitPay. This QR code does not expire and remains technically capable of being scanned and paid after the corresponding invoice has already been settled.
Once we receive confirmation that an invoice has been paid, we mark that invoice as paid within the Service and send the Workspace Owner a Payment Receipt marked "Paid" confirming successful payment. However, the PayNow QR code itself is delivered as part of the PDF invoice attached to the original payment email, and because that QR code is generated and hosted by HitPay and does not itself expire, we have no ability to prevent it from being scanned and paid again outside the Service if the Workspace Owner or any other person retains a copy of that email or PDF (or a screenshot, printout, or forwarded copy of it) and reuses the QR code after the invoice has already been paid.
Any payment made by scanning a QR code corresponding to an invoice that has already been paid will not be credited to Basementgrid's account with HitPay, and Basementgrid will have no visibility into, control over, or record of such a payment. Basementgrid is not responsible for, and is not able to identify, trace, or refund, any amount paid through a QR code corresponding to an already-settled invoice. Workspace Owners are responsible for discarding or deleting any invoice email, PDF, or QR code image in their possession once a Payment Receipt has been received, to avoid inadvertent duplicate payment.
5. Data and Content
5.1 Data We Collect
To create a Workspace, an Administrator must provide the Workspace's UEN, address, financial year, and the spending threshold amount above which Approver sign-off is required. Administrators may then invite other Accounts, who may provide additional information such as email address, unit number, unit role (owner or tenant), vehicle number, and access card details, to help Administrators manage occupants and access within the estate.
Basementgrid does not use Content or personal data submitted to a Workspace for any purpose other than providing, maintaining, and supporting the Service to that Workspace, except as otherwise disclosed in our Privacy Policy or required by law.
5.2 Ownership of Content
As between Basementgrid and the Workspace Owner, all Content entered into a Workspace belongs to the entity under whose UEN that Workspace is registered (for example, the MCST). This applies regardless of which individual Account (including an Administrator acting on behalf of a Managing Agent) submitted the Content, and regardless of any subsequent change in Managing Agent.
5.3 Data Continuity on MA or Administrator Transition
Where a Workspace Owner changes its Managing Agent or otherwise replaces its Administrator, Content within the Workspace remains intact and accessible to the newly authorized Administrator(s) for that Workspace. Basementgrid does not delete or withhold Workspace Content on account of a change in who administers the Workspace on the Workspace Owner's behalf.
5.4 Personal Data and PDPA
We handle personal data submitted to the Service in accordance with Singapore's Personal Data Protection Act (PDPA) and our Privacy Policy. Occupant personal data (such as unit role, vehicle number, and access card details) is restricted to Administrator-level Accounts within the relevant Workspace and is not shared with third parties other than as necessary to provide the Service or as required by law.
6. Disclaimers
6.1 No Liability for Vendor Work
Basementgrid is a coordination and record-keeping platform only. We do not perform, supervise, or guarantee any physical maintenance, repair, or other work carried out by a Vendor or Vendor Technician. Basementgrid is not responsible or liable for the quality, safety, timeliness, legality, or workmanship of any work performed by a Vendor, or for any loss, injury, or damage arising from such work. Engagement of any Vendor through the Service is solely between the Workspace Owner and that Vendor.
6.2 Service Provided "As Is"
The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times, and we make no commitment as to uptime or service levels. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
6.3 Limitation of Liability
To the fullest extent permitted by applicable law, Basementgrid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.
To the fullest extent permitted by applicable law, Basementgrid's total aggregate liability arising out of or in connection with these Terms or the Service, whether in contract, tort, or otherwise, shall not exceed 100% of the fees paid or payable by the Workspace Owner to Basementgrid in the twelve (12) months immediately preceding the event giving rise to the claim.
The limitation in the preceding paragraph does not apply to, and Basementgrid's liability shall not be capped in respect of: (a) Basementgrid's breach of its obligations under the Personal Data Protection Act 2012 or any other applicable data protection law, including in connection with a data breach; or (b) any liability arising from Basementgrid's fraud or wilful misconduct.
7. Suspension and Termination
7.1 Non-Payment
As described in Section 4.4, a Workspace that does not settle an outstanding paid Subscription Plan invoice within fifteen (15) days automatically reverts to the Free Plan. This is not a termination of the Account or loss of Content — the Workspace Owner may upgrade again at any time to restore paid features, subject to the Free Plan's limits applying in the interim.
7.2 Suspension for Misuse
We may suspend or restrict access to a Workspace or Account where we reasonably believe there has been fraud, misuse of the Service, a breach of these Terms, or unlawful activity.
7.3 Termination
A Workspace Owner may stop using the Service at any time. These Terms will continue to apply to any prior use of the Service, and Section 4.3 (No Refunds) applies to any fees already paid.
7.4 Data Deletion Requests
A Workspace Owner may request that all data associated with its Workspace be permanently deleted by writing to legal@basementgrid.com. To protect against fraudulent or unauthorized deletion requests, we require the requester to provide proof of identity and authority to act for the Workspace Owner, together with a signed undertaking confirming the request, before we will process the deletion. Once verified, we will permanently delete the Workspace's Content within thirty (30) days of confirming the request, except for the records described below.
Notwithstanding the above, the following records are retained (archived) for a minimum of five (5) years from the date the Workspace is closed, in accordance with record-keeping requirements under Singapore law (including requirements of the Inland Revenue Authority of Singapore ("IRAS")), even where a deletion request has been made and processed: invoices and tax invoices; transaction histories; payout logs; and merchant or Workspace identification details directly tied to the foregoing financial records. Such retained records are kept solely for legal and compliance purposes and are not used for any other purpose.
8. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (such as by email or in-app notice) before the changes take effect. Continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of Singapore, without regard to conflict of law principles.
The parties will first attempt to resolve any dispute arising out of or in connection with these Terms or the Service (including any question regarding its existence, validity, or termination) through good-faith negotiation between senior representatives within thirty (30) days of one party notifying the other of the dispute.
If the dispute is not resolved through negotiation within that period, it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of SIAC for the time being in force, which rules are deemed incorporated by reference. The seat of arbitration shall be Singapore, the tribunal shall consist of one (1) arbitrator, and the language of the arbitration shall be English.
Notwithstanding the foregoing, where the amount in dispute is less than S$20,000 (Singapore dollars), either party may instead bring the claim before the Small Claims Tribunals of Singapore or, where the claim falls outside the jurisdiction of the Small Claims Tribunals, the State Courts of Singapore, and such claim shall not be required to proceed to arbitration.
